VIDEO SUBMISSION TERMS AND CONDITIONS
Welcome to UGC Ninja Company's video submission platform. By submitting your videos to UGC Ninja Company through our designated website or via email, you ("Creator") agree to the following terms and conditions:
1. SUBMISSION OF VIDEOS:
Creators may submit short videos made with a mobile phone and/or video camera in portrait format (9x16/1920 px X 1080 px) to UGC Ninja Company through our designated website or via the specified email address.
2. ACCEPTANCE OR DECLINE OF SUBMITTED MATERIALS:
UGC Ninja Company reserves the right, in its sole discretion, to accept or decline any video materials submitted. We are under no obligation to provide reasons for declining any submitted material.
3. TRANSFER OF RIGHTS:
Upon UGC Ninja Company's acceptance of a submitted video and subsequent payment to the Creator, the Creator hereby transfers and assigns to UGC Ninja Company all rights, title, and interest in and to the submitted video, perpetually. UGC Ninja Company shall have the exclusive right to use, reproduce, distribute, display, and create derivative works based on the submitted video in any manner and in any medium, without further payment to the Creator, except as otherwise expressly provided in these terms.
4. COMPENSATION:
For each accepted video, UGC Ninja Company agrees to pay the Creator at a rate of $1 (One Dollar) for every second of the video's duration. Payment will be made through a method specified by the Creator in the submission form. UGC Ninja Company is not responsible for any errors or inaccuracies in the payment method details provided by the Creator. If the payment method is not filled in correctly, UGC Ninja Company is not liable for any failed or incorrect transactions.
5. COLLECTION AND USE OF PERSONAL DATA:
By submitting videos and the associated form, Creators acknowledge and agree that UGC Ninja Company may collect and process the personal data provided. This data will be used solely by UGC Ninja Company for the purpose of managing the video submission process and ensuring proper payment. UGC Ninja Company agrees not to disclose, sell, or transfer this personal data to any third parties, except as required by law. By submitting the form, the Creator expressly consents to the processing of their personal data by UGC Ninja Company in accordance with these terms.
6. REPRESENTATIONS AND WARRANTIES:
Creators represent and warrant that:
a) They have the full right and authority to submit the videos and to grant the rights granted herein.
b) The submitted videos are original, have not been copied from others, and do not infringe upon the rights of any third party.
c) The submitted videos do not contain any defamatory, obscene, or otherwise unlawful material.
7. INDEMNIFICATION:
The Creator agrees to indemnify, defend, and hold harmless UGC Ninja Company from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or related to any breach by the Creator of any warranty, representation, or agreement made herein, or any use of the submitted video.
8. TERMINATION:
Both the Creator and UGC Ninja Company may terminate this agreement at any time without notice. From the Creator's side, adherence to this agreement is demonstrated by submitting videos, and from UGC Ninja Company's side, by accepting these videos. Termination does not nullify any prior agreements or transactions related to videos previously submitted and accepted.
9. GOVERNING LAW AND JURISDICTION:
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this agreement shall be resolved under US laws.
10. NOTIFICATION OF CHANGES:
UGC Ninja Company reserves the right to amend these terms and conditions at any time. In the event of any changes, UGC Ninja Company will notify Creators via email. It is the Creator's responsibility to receive and review such notifications.
11. ASSIGNMENT:
UGC Ninja Company reserves the right to assign or transfer the rights to any paid videos to third parties.
12. LIMITATION OF LIABILITY:
UGC Ninja Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this agreement.
13. RELATIONSHIP OF THE PARTIES:
The Creator is an independent contractor and is not an employee of UGC Ninja Company.
14. ACKNOWLEDGEMENT:
By submitting the form and checking the box "I have read and agree to the terms and conditions of the program," Creators acknowledge that they have read, understood, and agree to be bound by these terms and conditions.
